Welcome to Aificient Labs (“Company”, “we”, “us”, “our”).
These Terms & Conditions (“Terms”) govern your use of our website, AI automation services, AI systems, applications, and any related products (collectively, the “Services”).
By accessing or using our Services, you agree to these Terms.

1. Services Provided
Aificient Labs provides AI, workflow automation, process automation, AI systems, custom AI application development, consulting, implementation, integrations, and ongoing support.
We may enhance, modify, or discontinue aspects of the Services at any time.
2. Eligibility
To use our Services, you must be:
- At least 18 years old
- Legally able to enter into a binding agreement
- Providing accurate, complete information
3. Project Scope & Deliverables
All project details-scope, timelines, deliverables, and pricing – will be defined in a written proposal, quote, or Statement of Work (SOW).
Scope changes may incur additional fees and require written approval.
4. Client Responsibilities
Clients agree to:
- Provide accurate data and timely access to required tools, accounts, and systems
- Ensure all shared data is lawfully obtained and permissible for use
- Participate in testing, feedback, and approvals
- Maintain secure access to credentials
We are not responsible for delays caused by incomplete access or missing information.
5. Payment Terms
Unless otherwise stated in writing:
- Invoices are due within [X] days
- Late payments may incur [X]% interest per month
- Deposits or milestone-based payments may be required
- Fees are non-refundable once work begins
- Failure to pay may result in suspension or termination of Services.
6. Intellectual Property
6.1 Client Materials
All materials the client provides remain their property.
6.2 Deliverables Created by Aificient Labs
- Final deliverables become the client’s property once payment is completed in full including IP if applicable
- Internal tools, frameworks, prompts, templates, architectures or proprietary systems used to build solutions remain the intellectual property of Aificient Labs
6.3 AI-Generated Outputs
AI may produce inaccurate or incomplete results, clients agree to review all AI-generated content before using it.
7. Confidentiality
Both parties agree to protect confidential information and not disclose it to third parties, unless legally required.
8. Data & Security
- We follow industry-standard cybersecurity practices. However, Aificient Labs is not responsible for:
- Third-party system failures
- Breaches outside our control
- Client-side security issues
9. Use of Third-Party Tools
Our solutions often integrate with tools, APIs and AI models operated by external providers. We are not liable for:
- Their downtime
- Their pricing or policy changes
- Data handling by these providers
- Clients must comply with third-party terms.
10. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages
- Our total liability is limited to the amount paid by the client in the last one month
11. Warranties & Disclaimers
- Aificient Labs provides all Services “as-is” without warranties of any kind. We do not guarantee:
- Business outcomes or financial results
- 100% accuracy of AI outputs
- Compatibility with all external systems
12. Termination
Either party may terminate with written notice. All completed work, work in progress and allocated resources must be paid for up to the termination date.
13. Governing Law
These Terms are governed by the laws of Country/State as given on Master Service Agreement, without regard to conflict-of-law principles.
14. Updates to Terms
We may update these Terms periodically. Continued use of our Services means you accept any updated Terms.
